Standard Terms & Conditions of Offer

(Applicable to all proposals and agreements issued by Bettroi FZE)

1. Definitions

  • Bettroi: Refers to Bettroi FZE, headquartered at A5, Techno-Hub, DTEC, Dubai Silicon Oasis, Dubai, UAE.
  • Client: The individual or legal entity receiving the proposal or purchasing services/products from Bettroi.
  • Deliverables: The agreed-upon work products, services, or licenses defined in Bettroi’s offer, proposal, or agreement.
  • Agreement: The written and/or electronic agreement between Bettroi and the Client, including these Terms & Conditions.

2. Scope of Work

  • All Deliverables will be clearly outlined in the associated proposal. Any changes to scope, timeline, or pricing must be mutually agreed upon in writing.

3. Terms of Payment

  • Payment terms will be as specified in the offer or invoice.
  • Late payments may incur an administrative fee and/or interest as per UAE commercial laws.
  • Bettroi reserves the right to withhold Deliverables or suspend services in case of delayed payments.

4. Warranties & Guarantees

  • Software Products: Any warranties related to third-party or principal software products (e.g. Microsoft, Zoho, Odoo, OpenAI, etc.) are passed through to the Client as provided by the original vendors. Bettroi does not provide additional warranties on third-party tools.
  • Bettroi Services: All services rendered by Bettroi are guaranteed for a period of 30 (thirty) calendar days from date of delivery or completion. After this period, services will be considered accepted and free of defect unless reported in writing.
  • No guarantees are offered regarding future business outcomes, revenue generation, or commercial success unless explicitly stated.

5. Limitation of Liability

  • Total cumulative liability of Bettroi (whether in contract, tort, negligence, or otherwise) shall not exceed 100% of the total contract value paid by the Client.
  • In no event shall Bettroi be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to lost profits, lost data, business interruption, or reputational harm.

6. Intellectual Property

  • Unless explicitly transferred in writing, all intellectual property created by Bettroi during project execution remains the sole property of Bettroi FZE.
  • The Client is granted a non-exclusive, non-transferable, revocable license to use the Deliverables solely for its internal business purposes.

7. Confidentiality

  • Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement.
  • Confidentiality obligations survive for 2 years post-completion or termination of the agreement.

8. Indemnity

  • The Client agrees to indemnify and hold harmless Bettroi FZE, its directors, employees, and agents against any claims, losses, or damages arising out of:
  • – Misuse of Deliverables;
  • – Client’s breach of contract;
  • – Any legal claims due to data, materials, or instructions provided by the Client.

9. Force Majeure

  • Bettroi shall not be liable for any failure or delay in delivery or performance arising from events beyond its reasonable control, including but not limited to: natural disasters, governmental restrictions, cyberattacks, pandemics, or utility disruptions.

10. Governing Law & Jurisdiction

  • This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates.
  • Any disputes shall be resolved exclusively through the courts of Dubai, UAE, unless arbitration is mutually agreed.

11. Termination

  • Either party may terminate the agreement upon 15 days’ written notice, subject to settlement of all outstanding dues.
  • Bettroi reserves the right to retain any advance payments or deposits made for work already initiated.

12. Miscellaneous

  • These Terms & Conditions shall supersede any previous oral or written agreements unless explicitly referenced in the proposal.
  • Bettroi reserves the right to update these terms from time to time. The latest version will be made available on www.bettroi.com/terms-and-conditions or included with future proposals.
